Wire Drive Service Terms

This Wire Drive Service Schedule (“Drive Schedule”) forms part of and is subject to the agreement governing the Customer’s use of Wire’s services, whether a master services agreement, order form, online terms, or similar binding instrument (the “Agreement”). Capitalised terms not defined in this Drive Schedule have the meaning set out in the Agreement. In the event of conflict, this Drive Schedule prevails solely with respect to the subject matter of this Drive Schedule.

1. Scope of Service

1.1. Service Description. Wire Drive is a collaboration and data storage feature (the “Service”) provided by Wire Swiss GmbH and accessible via Wire Messenger, the Wire web client, and related Wire applications, enabling Customer Users to upload, store, organize, search, version, and share digital file assets (“Drive Content”). Wire Drive may include collaboration features such as shared folders/spaces, permissions and access controls, link-based sharing (if enabled), activity/history views, and other collaboration features made available within Wire Drive (“Collaboration Features”).

“Drive Content” means file assets and associated metadata that are uploaded to, stored in, and processed within the Wire Drive storage and collaboration functionality. Drive Content does not include messages, call data, or other communication content processed under Wire’s end-to-end encrypted messaging or calling functionality, even where such functionality is available within the same team, group, or workspace environment.

1.2. Nature of the Service. Wire Drive constitutes a collaboration-oriented storage functionality. Unless expressly enabled by a separately executed Order Form or addendum, Wire Drive is not designed or warranted to function as:

  1. a long-term archival system;
  2. a regulatory compliance repository;
  3. a primary backup solution; or
  4. a legally mandated document retention system.

1.3. Customer Responsibility. Customer remains solely responsible for:

  1. determining the appropriateness of Wire Drive for its intended use;
  2. compliance with applicable statutory retention obligations;
  3. maintaining independent backups of critical data; and
  4. configuring administrative controls appropriately.

Where configurable, Customer is responsible for configuring and administering Collaboration Features (including permissions, sharing settings, and user access) and remains responsible for all actions of its Users and administrators within Wire Drive. Administrative control and permission management functionality is subject to the capabilities available within the applicable version of Wire Drive at the relevant time.

2. Encryption and Data Processing Model

2.1. Encryption at Rest. Drive Content is encrypted at rest using industry-standard encryption mechanisms.

2.2. Access Model. Unlike Wire’s end-to-end encrypted messaging functionality, Wire Drive is not based on a client-side end-to-end encryption model. Wire may technically access Drive Content in decrypted form where reasonably necessary to provide, maintain, secure or support the Service, including for troubleshooting, abuse prevention, and integrity/security purposes, subject to appropriate access controls.

2.3. Metadata Processing. Wire Drive processes metadata associated with Drive Content, including but not limited to: (i) file names; (ii) folder names; (iii) file size; (iv) modification timestamps; and (v) hashtags or classification fields. Such metadata may be readable by Wire and may be processed for indexing, search and collaboration functionality. File metadata is not end-to-end encrypted and is not encrypted at rest.

2.4. Search and Preview Processing. Server-side processing may occur for: (i) preview and thumbnail generation; (ii) indexing and search functionality; (iii) version control and collaboration features; and (iv) security scanning (including malware detection and prevention mechanisms).

2.5. No Guarantee of Collaboration Outcomes. Wire does not guarantee that Collaboration Features will be free from delays, synchronization conflicts, or version discrepancies inherent in collaborative environments. Where available, Customer remains responsible for configuring access permissions and sharing settings appropriately.

3. Storage, Versioning and Retention

3.1. Persistent Storage. Wire Drive provides persistent storage for Drive Content during the active Subscription Term or, if not applicable, during the term of the Agreement and any applicable Order Form covering the Service.

3.2. Storage Capacity. Wire may apply reasonable technical storage limits per team, tenant, or user in accordance with the applicable subscription plan or service configuration. Storage consumption metrics may not be visible to Customer during certain stages of service rollout. Where Customer usage materially exceeds the agreed storage allocation, Wire will provide written notice and a reasonable opportunity of not less than fourteen (14) days to reduce usage or upgrade the applicable subscription before applying technical restrictions, except where immediate restriction is necessary to protect the security or integrity of the Service, in which case Wire will notify Customer as soon as reasonably practicable.

3.3. Versioning. Where versioning is enabled, previous versions of Drive Content are retained until the primary (“master”) file is deleted, unless otherwise configured or contractually agreed.

Unless otherwise agreed in writing, Wire may impose reasonable technical limits on:

  1. the number of retained versions; and/or
  2. the duration of version retention;

in order to maintain system integrity, security, and performance. Wire may update such limits on not less than thirty (30) days' prior written notice to Customer.

3.4. Recycle Bin. Deleted Drive Content may be retained temporarily in a recycle bin for a limited recovery period determined by the configuration of the Service and the applicable subscription plan.

3.5. Deletion Scope. Deletion of Drive Content includes deletion of associated version history, recycle bin content, derived data such as thumbnails, previews, or indexing artifacts, and associated metadata/index entries to the extent technically processed within Wire Drive and technically feasible.

3.6. No Indefinite Preservation Obligation. Wire does not assume any obligation to preserve Drive Content indefinitely beyond the Subscription Term.

3.7. Fair Use. Wire Drive is subject to the storage and usage limits specified in the applicable subscription plan or Order Form.

4. Downgrade from Drive Subscription

4.1. Immediate Effect of Downgrade. Upon downgrade to a plan not including Wire Drive:

  1. uploads and new sharing are disabled;
  2. external sharing links, where enabled, may be deactivated; and
  3. where technically available, Wire may restrict Drive Content to read-only access.

4.2. Grace Period (Export Window). Following downgrade, Customer retains full access to existing Drive Content for a period of up to thirty (30) days for the purpose of exporting Drive Content.

4.3. Deletion After Grace Period. Following expiry of the grace period, Drive Content will be permanently deleted from active systems within a commercially reasonable period.

4.4. Non-Payment / Suspension / Abuse. Where access to the Service is suspended due to non-payment, Wire may shorten the grace period to a minimum of seven (7) days.

5. Termination of Service

5.1. Team Deletion. Where a Customer administrator deletes a team through the Service interface, such action will result in the permanent and irreversible deletion of all associated data within the Service environment.

5.2. Post-Termination Access (Export-Only). Where the Agreement is terminated or expires and the Customer's team has not been deleted prior to termination, Wire will use reasonable efforts to provide Customer with an opportunity to export Drive Content for a period of up to thirty (30) days following termination.

5.3. Backups. Deleted Drive Content may persist in encrypted system backups for a limited period, generally not exceeding seven (7) days.

5.4. Logs. Wire may retain security, audit, and operational logs for a limited period as reasonably necessary for security, integrity, abuse prevention, and legal compliance purposes.

6. Data Portability

6.1. Export. During the Subscription Term and any applicable grace period, Customer may request export of Drive Content or use available self-service export functionality.

6.2. Administrative Control. Bulk or tenant-level export functionality may be restricted to authorized Customer administrators.

6.3. Format. Exports shall be provided in standard machine-readable formats supported by the Service.

6.4. Limitations. Wire may apply reasonable technical limitations necessary to maintain service integrity and security.

6.5. Export Scope. Exports provided through Wire Drive include the underlying Drive Content and associated system identifiers necessary to reconstruct the content hierarchy.

7. Deployment Models

7.1. Wire Cloud Deployment. Where Wire Drive is provided in Wire’s public cloud environment: (i) Wire acts as processor under the DPA; (ii) Subprocessors listed in the Agreement apply; and (iii) infrastructure is hosted in the agreed region.

7.2. Private Cloud Deployment. Where provided in a dedicated private cloud environment, infrastructure isolation and hosting parameters shall be as specified in the Order Form.

7.3. On-Prem Deployment. Where deployed on Customer-controlled infrastructure: (i) Customer is responsible for infrastructure security and data retention; (ii) Wire’s access is limited to agreed support and maintenance scope; and (iii) infrastructure-level compliance obligations remain with Customer.

8. External Sharing and Content Responsibility

8.1. Customer Responsibility. Customer is solely responsible for Drive Content uploaded, stored, or shared using Wire Drive.

8.2. No Monitoring Obligation. Wire does not actively monitor Drive Content.

8.3. Suspension/Removal and Preservation. Wire reserves the right to suspend access to, disable sharing of, or remove access to specific Drive Content where required by law or where reasonably necessary to protect the security or integrity of the Service.

8.4. Automated Security Measures. Wire may implement automated security measures, including malware scanning, and may automatically block, quarantine, or restrict access to Drive Content reasonably identified as posing a security risk.

9. Relationship to DPA and SLA

9.1. DPA. Processing of personal data within Wire Drive is governed by the Data Processing Agreement (“DPA”).

9.2. SLA. Any service level commitments applicable to Wire Drive are set out exclusively in the applicable Service Level Agreement (“SLA”) and/or Order Form.

10. Liability

The limitations of liability and exclusions set forth in the Agreement apply fully to Wire Drive.

11. Subscription and Pricing Structure

11.1. Add-On Model. Wire Drive is available as an add-on to Wire Messenger subscriptions and requires an active Wire Messenger subscription.

11.2. Pooled Storage. Storage under Wire Drive is currently allocated on a pooled basis across all licensed Drive users within Customer's team.

11.3. Additional Storage. Additional pooled storage capacity is available on request.

11.4. Annual Commitment. Wire Drive subscriptions are subject to an annual commitment unless otherwise specified in the Order Form.

11.5. Pricing Changes. Wire reserves the right to adjust Wire Drive pricing on not less than sixty (60) days' prior written notice.

11.6. Updates to this Schedule. Wire reserves the right to update or modify this Drive Schedule from time to time.

11.7. Discontinuation. Wire reserves the right to discontinue Wire Drive as a standalone feature or service on prior written notice.

12. Acceptable Use

Customer is solely responsible for all Drive Content uploaded, stored, or shared using Wire Drive and must ensure that such use complies with all applicable laws and the Agreement.

Customer shall not use Wire Drive to upload, store, transmit, or share content that:

  1. is unlawful, infringing, defamatory, or fraudulent;
  2. contains malware, viruses, or other malicious code;
  3. circumvents or attempts to circumvent Wire's access controls, security measures, or encryption mechanisms; or
  4. violates any third party's intellectual property or privacy rights.

Wire reserves the right to suspend access to or remove Drive Content that violates this Section, and to suspend or terminate Customer's access to Wire Drive in the event of material or repeated breach, in accordance with the Agreement.
